eCaddy.com Terms of Service Agreement

This website is an interactive suite of inter-related content and services operated by eCaddy.com (hereinafter also referred to as the "Site").

The Service, which is hosted on eCaddy.com web servers, offers Users (as defined below) of eCaddy.com as well as the golf pages of affiliated websites (hereinafter also referred to as the "Sites") for which eCaddy.com provides and syndicates the following:

• (i) customized golf-related content,
• (ii)access to information, software and other content owned or licensed by eCaddy.com and the third-party affiliates for which eCaddy.com hosts customized golf oriented web pages (the "Content Providers"),
• (iii) merchandise and services offered by eCaddy.com and independent merchants ("Merchants"), and
• (iv) member benefits such as instructional tools, discounts and rewards programs.

Please note: "The Service" is the umbrella under which "The Site" and "The Sites" reside, and any and all references to The Service includes all entities contained within the term "The Service."

User Agreement
For purposes of this TOS, "User" means any person who registers as a user or otherwise uses The Service or any affiliated Sites. By using The Service you also confirm that you are 18 years of age or older, or have received written, verifiable permission from a parent or legal guardian. To protect the interests of other Site Users and The Service's information and service providers, all Users are required to abide by the rules described within this agreement. Termination of Service
You understand, accept, and agree that, without prior notice, and in eCaddy.com's sole discretion, your access to, and use of The Service may be terminated or suspended; and further, that The Service may also exercise any other remedy available and remove any unauthorized User Content (as defined below), if any of the following circumstances arise:

• (i) eCaddy.com believes that your (or anyone using your computer, e-mail or password) use of The Service, Site, affiliated Sites, or any User Content you provided violates or is inconsistent with this TOS and/or
• (ii) violates the rights of eCaddy.com, another User or applicable law.

Suspension or termination of your authorization to use The Service also terminates your license, if any, to use any software provided by eCaddy.com. You acknowledge and agree that monetary damages may be insufficient to remedy violations of the TOS, and you consent to injunctive or other equitable relief for such violations. Further, you accept and agree that eCaddy.com is not required to refund to you any money you may have paid if you are terminated as a User.

In the event you are dissatisfied with The Service for any reason whatsoever you may terminate this Agreement at any time. Your sole and exclusive remedy is to terminate your use of the service by written notice to eCaddy.com pursuant to this Agreement. eCaddy.com shall not be responsible for any loss or damage that results from termination or suspension of User's access or account. All provisions of this Agreement will survive the termination of the Agreement or your access, whether terminated by you or eCaddy.com.

Copyright Notice and Limitations on Use
The contents of The Service (collectively referred to as the "Content") are copyrighted as a collective work under the United States copyright laws. Except as expressly permitted by this TOS, you may not copy, reproduce, publish, retransmit, redistribute, publish commercially, exploit or otherwise transfer any copyrighted materials, in whole or in part, in any manner, without the express written permission of the copyright owner.

You may download or make a single copy of copyrighted materials solely for your own personal use, provided you preserve any copyright or other notices contained in or associated with them.

eCaddy.com shall not be responsible for any opinions, views, advice or statements posted on The Service (including, without limitation, in any public posting or chat areas of the Service) by any person or entity other than an authorized eCaddy.com spokesperson.

Service advertisers, non-affiliated Content Providers, Users, independent writers and experts are not authorized eCaddy.com spokespersons. At no time should the opinions, views, advice or statements provided by eCaddy.com Service advertisers, non-affiliated Content Providers, Users, independent writers or experts be relied upon for important personal or business decisions without independent verification by a reputable party. Except as may be stated in the license agreement accompanying any software provided to you through or in connection with The Service ("Software"), you are granted only a personal, non-exclusive and non-transferable license to use certain Software while your use continues in compliance with this TOS. Unauthorized use, distribution and/or copying of any such Software is prohibited at all times.

User Conduct
As a User of this Site and affiliated Sites, you are responsible for, and will assume all liability associated with, any material you, or anyone using your e-mail account and password, make available to or through The Service, including but not limited to liability for claims of infringement of intellectual property rights and defamation. You shall not post, transmit through, or otherwise make available on the Service any of the following:

Although eCaddy.com does not and cannot review every message posted by Users on The Service, eCaddy.com shall be under no obligation to permit any material posted or transmitted by the User to remain on The Service, and may, but is not obligated to, refuse to display or remove from The Service any material which eCaddy.com, in the exercise of its sole discretion, believes violates this Agreement or any Rules. Material that you author under this Agreement ("User Material") that you (or anyone using your Account) post, transmit through or otherwise make available on The Service in public posting areas such as discussion groups, chat rooms, etc., shall be considered to be in the public domain, and may be copied, published, distributed or otherwise used by eCaddy.com (or other Users) for any purpose without your permission. You acknowledge that any User Material you (or anyone using your Account) post, transmit through or otherwise make available on The Service may be edited, removed, modified, published, transmitted and displayed by eCaddy.com, and you waive, and agree never to assert, any copyright, publishing, moral or financial rights you may have in such User Material.

You agree that you will not:

(a) use any robot, spider, other automatic device or manual process to monitor, copy web pages or the Content contained in the Service, to refresh or otherwise manipulate the Site to achieve points or other benefits related to use, or for any other unauthorized purpose without our prior, express written permission, (b) use any device, software, or routine to interfere or attempt to interfere with the proper working (including scraping) of The Service and the Site; and (c) take any action that imposes an unreasonable or disproportionately large load on eCaddy.com's hardware and software infrastructure.

Registered Users' Account Responsibilities and Fees. Upon registering for The Service, you are responsible for ensuring that all use of The Service under your Account (i.e., use of The Service by any person using your username and password) complies with the provisions of this TOS. You are responsible for maintaining the confidentiality of your password.

eCaddy.com is not responsible for delivery, warranties, guarantees or other matters concerning purchases from Merchants that are not owned or operated by eCaddy.com. Concerns with any of the above issues must be sent to the Merchants directly, and eCaddy.com will not be party to any such issues.

eCaddy.com Refund Policy
When you register as a new Annual eCaddy member, you will be billed the current annual fee in full at the time you enroll, subject to a 90-day money-back guarantee on the membership purchase (less any S&H if any). Shipping & Handling (S&H) fees are non-refundable and vary depending on location. You will be advised of any applicable S&H fees before your order is processed. When you register as a new Charter eCaddy member, you will be billed the current Charter fee in full at the time you enroll, subject to a 90-day money-back guarantee (less any S&H if any). Indemnification
You accept and agree to indemnify and hold eCaddy.com and its licensors, parents, subsidiaries, affiliates, officers and employees ("Affiliated Parties"), harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your, including anyone's using your computer, e-mail account or password, use of the Service; the violation of the Agreement, or infringement, of any intellectual property or other right of any person or entity.

Modifications
eCaddy.com reserves the right at its discretion to modify these Terms of Service to the extent permitted by law, and to notify Users of any such changes by posting a link to the current TOS agreement at the bottom of each page. Your continued use of The Service after any such modifications will constitute your agreement with and acceptance of the terms of the modified TOS and your agreement and acceptance to be bound by the modified terms. If you do not wish to be bound by the modified TOS, you may terminate your Service pursuant to the Termination section above. The Service may modify, suspend, discontinue or restrict the use of any portion of The Service, including the availability of any portion of the Content, at any time, without notice or liability.

Any notice you provide to eCaddy.com will not change the terms of your TOS, unless a modification is expressly accepted in writing by an authorized officer of eCaddy.com.

Additional provisions

SEVERABILITY. If any provision of this TOS shall be found to be void, invalid or unenforceable, that provision shall be construed as severable and shall not in any way affect any other provision of this TOS Agreement, and this TOS Agreement shall be carried out as if such void, invalid or unenforceable provision were not part of this Agreement.

NO WAIVER. eCaddy.com's waiver of, failure or delay in exercising any right, power or provision hereunder shall not operate as a waiver of its right or power, nor shall any single or partial exercise of any right, power or provision hereunder preclude the exercise of that right or any other right, power or provision in that or any another instance.

eCaddy.com SUCCESSORS AND ASSIGNS. This TOS Agreement shall be binding upon and inure to the benefit of any eCaddy.com successor companies or assigns.

HEADINGS. The headings in this TOS Agreement are for convenience only and shall not affect the meaning or interpretation of this Agreement or any provision thereof.

ENTIRE AGREEMENT. This TOS Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, whether oral or written, relating to the subject matter.

GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflicts of law provisions. You agree that any cause of action you mayhave with regard to the Service must be filed in the federal or state courts, as appropriate, located in Cook County, Illinois, within one year after the cause of action arises, or else the cause is barred.

ANY USE OF THE SERVICE CONSTITUTES ACCEPTANCE AND AGREEMENT WITH THIS TOS. IF YOU ARE NOT AT LEAST 18 YEARS OF AGE OR DO NOT ACCEPT OR AGREE WITH THE TERMS OF THIS TOS, PLEASE EXIT THIS SERVICE IMMEDIATELY.
